{"id":1540544,"date":"2024-07-29T10:20:06","date_gmt":"2024-07-29T14:20:06","guid":{"rendered":"https:\/\/www.practicalecommerce.com\/?p=1540544"},"modified":"2024-07-29T10:20:06","modified_gmt":"2024-07-29T14:20:06","slug":"ecommerce-ma-stabilizing-advisor-says","status":"publish","type":"post","link":"https:\/\/www.practicalecommerce.com\/ecommerce-ma-stabilizing-advisor-says","title":{"rendered":"Ecommerce M&#038;A Stabilizing, Advisor Says"},"content":{"rendered":"<p>The market for ecommerce businesses looks to be stabilizing this year, according to Mark Daoust, founder of <a href=\"https:\/\/quietlight.com\/\">Quiet Light<\/a>, a brokerage and advisory firm.<\/p>\n<p>\u201cOn the buy side, it feels as if things have stabilized somewhat \u2014 maybe not in a great place, but stabilized,\u201d Daoust said in a video interview this month. \u201cWe&#8217;re not seeing as many fits and starts as before.\u201d<\/p>\n<p>Last year saw a market mismatch of either not enough sellers or not enough buyers. Now, buyers are active but more cautious, with the average time to complete a deal extending to 150 days from 110 days in 2021.<\/p>\n<div id=\"attachment_1540612\" style=\"width: 160px\" class=\"wp-caption alignleft\"><img loading=\"lazy\" decoding=\"async\" aria-describedby=\"caption-attachment-1540612\" class=\"wp-image-1540612 size-full\" title=\"Mark Daoust\" src=\"https:\/\/www.practicalecommerce.com\/wp-content\/uploads\/2024\/07\/Mark-Daoust_2022.jpg\" alt=\"Mark Daoust\" width=\"150\" height=\"210\" \/><p id=\"caption-attachment-1540612\" class=\"wp-caption-text\">Mark Daoust<\/p><\/div>\n<p>\u201cBuyers are more sensitive to issues within the business than they were in the past,\u201d Daoust said. \u201cThe dominant issue now is a lot more businesses have declining trends. As one of my brokers put it, we&#8217;re listing a lot of businesses that need things to be fixed.\u201d<\/p>\n<h3>Buyer&#8217;s Market<\/h3>\n<p>Daoust forecasts <a href=\"https:\/\/www.practicalecommerce.com\/amid-downturn-ecommerce-investor-perseveres\">steady acquisitions<\/a> into the fall and a chance for real improvement in 2025. That assumes businesses stop bleeding and sellers adjust their expectations to what is now a buyer\u2019s market. That said, a higher percentage of deals are falling apart during due diligence.<\/p>\n<p>\u201cA buyer isn&#8217;t going to acquire a business that&#8217;s fatally ill,\u201d Daoust said. \u201cWhen they&#8217;re evaluating something with declining trends, buyers ask, \u2018Is it going to be stable in the long term? Can I fix this? Can I return this to profitability?\u2019 If so, it&#8217;s a great buy and a good deal for buyers. This is a great opportunity for buyers to purchase some of these businesses at lower valuations.\u201d<\/p>\n<p>It would help if interest rates were lower, making capital less costly, but Daoust has seen a number of buyers with loans from the U.S. Small Business Administration to fund their transactions, albeit at high rates, upwards of 13%.<\/p>\n<p>Moreover, for the right deal, buyers are willing to take chances with private lending or rates upwards of 20%.<\/p>\n<p>Regardless, deal activity should also pick up post-election, no matter who wins.<\/p>\n<p>&#8220;Republican, Democrat. It doesn&#8217;t really matter. The market loosens up pretty quickly after,&#8221; he said. &#8220;I would expect the same here.&#8221;<\/p>\n<p>Buyers increasingly seek multiple revenue channels <a href=\"https:\/\/www.practicalecommerce.com\/thrasio-slims-down-in-comeback-attempt\">beyond Amazon<\/a>. Shopify, Walmart, Target, and TikTok are all solid platforms for sales.<\/p>\n<p>\u201cYou can build a good business outside of Amazon. We&#8217;re seeing more merchants expand to physical retail stores,\u201d Daoust said. Social media is also becoming very relevant. \u201cThe <a href=\"https:\/\/www.practicalecommerce.com\/new-tiktok-shop-spurs-bk-beauty\">TikTok Shops<\/a> we&#8217;re seeing look very promising.\u201d<\/p>\n<p>Artificial intelligence may be a game-changer. Businesses will need to reassess search engine optimization and determine how to optimize for AI, Daoust said.<\/p>\n<p>&#8220;From a business owner standpoint, I&#8217;m thinking, &#8216;How can I utilize it?'&#8221; Daoust said. &#8220;A client came to us saying we were <a href=\"https:\/\/www.practicalecommerce.com\/does-chatgpt-know-your-company\">recommended by ChatGPT<\/a>.
